Acceptance of Terms These Client Terms of Service ("Agreement") constitute a binding agreement between the client and the service provider. By using the service provider's services, the client agrees to be bound by this Agreement.

Scope of Services The service provider will provide the client with the services described in the service agreement between the parties. The service provider will use commercially reasonable efforts to provide the services in accordance with the service agreement.

Payment Terms The client will pay the service provider for the services in accordance with the payment terms set forth in the service agreement. The service provider reserves the right to suspend or terminate services if payment is not received in a timely manner.

Term and Termination This Agreement will begin on the date that the client first uses the service provider's services and will continue until terminated by either party in accordance with the service agreement.

Confidentiality The parties agree to keep confidential all non-public information disclosed by one party to the other during the term of this Agreement. This obligation of confidentiality shall survive the termination of this Agreement.

Limitation of Liability The service provider will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, including, but not limited to, loss of profits, loss of business, or loss of use.

Indemnification The client agrees to indemnify and hold the service provider harmless from any claims, damages, or expenses arising out of or in connection with the client's use of the services provided by the service provider.

Governing Law This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the service provider is located, without giving effect to any choice of law or conflict of law provisions.

Entire Agreement This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

Amendments This Agreement may not be amended or modified except in writing signed by both parties.
